Draft business terms · version 28 August 2026
Clear rules for scanning, collaboration, and subscription billing
These draft terms describe the intended self-service agreement between VHUG Technologies OÜ and business customers of OpenForAll. They are published for review before paid launch and are not yet presented for acceptance at checkout.
Pre-launch draft — not yet a contract. A final legal, tax, and data-processing review is required before paid activation.
Parties and business use
OpenForAll is supplied by VHUG Technologies OÜ, Lõõtsa tn 5, 11415 Tallinn, Estonia. The service is offered only to organisations and people acting for business or professional purposes. The person creating or purchasing a workspace confirms authority to bind that organisation.
- Business customers only
- Organisation administrators manage members and access
- Individually agreed written terms prevail over this standard draft
- Support: support@openforall.io
Service and accessibility results
OpenForAll performs automated browser checks, preserves evidence, groups findings, supports remediation records, and can repeat scans. Results cover the rules and pages actually tested. A score or clean automated result is not a certification, legal opinion, or complete WCAG conformance audit.
- Versioned automated rules and scoring
- Coverage and omitted pages remain visible
- Some criteria require human review
- Customers decide and remain responsible for remediation
Lawful and acceptable use
Customers may scan only websites and content they own or have permission to assess. They must not use OpenForAll to bypass access controls, probe private networks, overload targets, introduce unlawful content, or infringe another person’s rights.
- Keep account credentials and API access confidential
- Respect crawl, package, and safety limits
- Obtain permission before scanning third-party systems
- Report suspected misuse or account compromise promptly
Trial, packages, and limits
A fourteen-day Team trial may start without a payment method. It does not convert automatically. At expiry, scanning and monitors pause; the workspace remains read-only for sixty days and is then locked while stored records are retained. Paid package limits, included users, websites, scans, and retention are those displayed when the order is placed.
- No-card trial and no automatic charge
- Add-ons only; no surprise metered overage
- Limits are enforced rather than silently exceeded
- Targeted re-scans are included within fair and safe use
Prices, tax, invoices, and payment
Prices are quoted excluding applicable tax. Stripe processes checkout, payment methods, tax calculation, and invoices; OpenForAll does not receive card details. Subscriptions are billed monthly or annually in the selected supported currency and renew for the same period unless cancelled.
- Billing details and tax identifiers must be accurate
- Invoices and billing records may be retained for ten years
- Renewal is charged at the then-agreed subscription price
- Payment-provider terms also apply to payment processing
Changes, cancellation, and failed payment
A package upgrade takes effect immediately and may be prorated by the payment provider. Downgrades and billing-cadence changes take effect at the next renewal and require current usage to fit the lower limits. Cancellation can be requested at any time and takes effect at the end of the paid period; unused time is not refunded except where mandatory law requires it.
- No separate cancellation deadline
- Seven-day payment grace period
- Then sixty days of read-only access with monitors paused
- Later payment recovery restores eligible access; otherwise the account is locked
Customer data, evidence, and confidentiality
Customers retain rights in their websites and submitted content and grant only the rights needed to operate, secure, support, and improve the contracted service. Scan evidence can contain personal or confidential information visible on tested pages. Each party must protect the other party’s confidential information with reasonable care.
- Tenant- and role-scoped access
- Focused evidence collection and package-based retention
- Organization export and remediation history
- A separate data-processing agreement is required where OpenForAll processes personal data for the customer
Availability, support, and changes
OpenForAll will use reasonable professional care but does not promise uninterrupted or error-free operation unless a separate service level is agreed. Maintenance, safety incidents, upstream provider failures, or misuse may require temporary restriction. Material adverse changes to paid terms should be announced before the next renewal.
- Support level follows the purchased package
- Security and integrity work may require urgent maintenance
- Features labelled planned are not purchased features
- Continued use after an announced effective date constitutes acceptance only where legally valid
Suspension and termination
OpenForAll may suspend access needed to contain a security risk, unlawful use, scanning without permission, or material breach. Where reasonably possible, the customer receives notice and an opportunity to cure. Either party may terminate for an uncured material breach; rights and payment obligations accrued before termination remain.
- Restrictions should be proportionate to the risk
- Customer export remains available during ordinary read-only periods
- Locked billing accounts can still reach reactivation controls
- Legal and security records may survive termination
Warranty and liability framework
The service is a decision-support tool, not legal advice or an accessibility certification. To the maximum extent allowed by applicable law, neither party is liable for indirect or consequential loss. Aggregate contractual liability should be limited to fees paid for the service during the previous twelve months, without excluding liability that cannot lawfully be limited, including intentional misconduct or gross negligence.
- Customer remains responsible for website operation and legal compliance
- No guarantee that every accessibility issue is detected
- No exclusion for liability that mandatory law does not permit
- Final liability wording requires legal review before activation
Governing law and contact
The intended governing law is Estonian law, with disputes between business parties submitted to the competent courts in Estonia unless mandatory law or an individually signed agreement requires otherwise. Questions, notices, and billing enquiries may be sent to support@openforall.io.
- English and German versions are intended to have the same meaning
- A final order form identifies package, currency, period, and effective terms version
- Invalid provisions do not invalidate the remaining agreement
- The accepted version must remain available to the customer
